Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of the Symbai website at symbai.dev ("Site") and the Symbai engineering retainer services (the "Services"). Symbai is operated by Raphael Fakhri, sole proprietor, based in Beirut, Lebanon. References in these Terms to "Symbai", "we", "us", or "our" refer to Raphael Fakhri d/b/a Symbai. By creating an account, subscribing, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Introduction
Symbai provides on-call software-engineering services delivered by a human engineer using AI tooling. We sell Services on a monthly subscription basis and on a per-project ("Bounty") basis as described on the Site. These Terms apply to all such engagements unless we sign a separate written agreement that expressly supersedes them.
2. Description of Services
The Services consist of one or more of the following, as selected during checkout:
- Solo — a single engineer on retainer at a stated monthly rate.
- Pod — a small team of engineers on retainer (in development; not yet available for purchase).
- Rush — an expedited response add-on.
- Bounty — fixed-scope project work paid on delivery.
Specific deliverables, response times, and scope are described in the Service Description provided at the time of subscription or in the project brief. Stated response times reflect best-effort targets, not contractual SLAs unless explicitly documented in a separate agreement.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter contracts in your jurisdiction. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
4. Accounts
To purchase Services you may need to provide an email address, billing details, and information about your project. You are responsible for the accuracy of that information and for keeping your credentials confidential. Notify us promptly of any unauthorized access.
5. AI Tools Disclosure
Symbai engineers use AI tooling (including but not limited to large-language-model coding assistants) to perform the Services. By engaging Symbai you acknowledge and consent that:
- Output produced for you may be generated, in whole or in part, with AI assistance and is reviewed by a human engineer before delivery.
- Code or content you share with us may be processed by third-party AI providers under their respective terms (e.g., Anthropic, OpenAI). We use providers with no-training-on-customer-data policies where available.
- Symbai cannot guarantee that AI-generated output is free from error, bias, or unintentional similarity to publicly trained material. All deliverables are subject to your review and acceptance.
If you require an engagement that excludes AI-assisted work, contact us before subscribing — that is a custom arrangement, not the default.
6. Customer Data and Confidentiality
"Customer Data" means code, credentials, documentation, and other materials you share with us to perform the Services. You retain all rights to your Customer Data. We use it solely to provide the Services and treat it as confidential.
We may store Customer Data on standard cloud infrastructure (e.g., GitHub, cloud-storage providers) only to the extent necessary to deliver the Services, and we limit access to the engineer(s) assigned to your account.
7. Acceptable Use
You may not use the Services to:
- Violate any law or third-party right (including intellectual-property and privacy rights);
- Build, train, or improve a directly competing engineering-retainer service;
- Scrape, reverse-engineer, or impersonate platforms in violation of their terms;
- Process data classified as Protected Health Information, payment-card data outside PCI scope, or government-classified information;
- Engage in harassment, fraud, or any unlawful activity.
We may decline or terminate any engagement that we reasonably believe violates this section.
8. Payment
Subscription fees are billed monthly in advance via our payment processor. Bounty fees are billed on delivery. Fees are non-refundable except as expressly stated in our Refund Policy. You authorize us to charge your payment method for all amounts due.
We may change pricing for new billing cycles on at least 30 days' notice. Existing paid cycles are not affected by a price change.
9. Cancellation and Termination
You may cancel a monthly subscription at any time before the next billing date; cancellation takes effect at the end of your current cycle. We may suspend or terminate your access for material breach of these Terms, non-payment, or actions that endanger our infrastructure or engineers.
10. Intellectual Property
Subject to your full payment of fees, we assign to you all right, title, and interest in deliverables produced specifically for you under a Bounty or Subscription engagement, excluding (a) tools, libraries, frameworks, and generic components we use across customers and (b) anything we held prior to the engagement. We retain a non-exclusive license to use the project at a high level in case studies and marketing, with your prior written approval before naming you.
11. Third-Party Services
Engagements may involve third-party services (e.g., AWS, GitHub, Stripe). Your use of those services is governed by their own terms. We are not responsible for third-party service outages or pricing changes.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYMBAI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
14. Indemnification
You will indemnify and hold Symbai harmless from any third-party claim arising out of (a) your Customer Data, (b) your use of the Services in violation of these Terms, or (c) your violation of any law or third-party right.
15. Changes to These Terms
We may update these Terms from time to time. Material changes take effect 14 days after we post the updated version with a new "Last updated" date. Continued use of the Services after that date constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Lebanon. The courts of Beirut have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.
